BICYCLE SOUTH AUSTRALIA INC AGM

Bicycle South Australia Inc Members are invited to the upcoming Annual General Meeting

Dear Members,


You are warmly invited to attend the Annual General Meeting of Bicycle South Australia Incorporated, where we will reflect on another productive year for our organisation and community. 


The AGM will include presentation of the 2024–25 Annual Report and an overview of our ongoing work to make cycling safer, more accessible and more connected across South Australia.


The meeting will also include the presentation of awards for the Grand Slam Challenge Series and the Volunteer of the Year, recognising the outstanding contributions of riders and supporters who make our events and programs possible. Members will also be asked to confirm the appointment of our Patron and to participate in the election of Board Members for the coming term.


Members will also consider the adoption of a proposed updated Constitution, designed to modernise our governance framework and strengthen our capacity to represent South Australian cyclists well into the future. Your attendance and participation are vital to shaping the direction of Bicycle SA in the years ahead.

Nominating for the Executive Committee

Nominations are now open for current members with the skills and interest in standing for the Executive Committe of Bicycle SA Inc. We request that nominations are made on the nomination forms available to access below.


Please ensure nominations are submitted to office@bikesa.org.au by Thursday 20 November 2025 to allow for ballot papers and relevant information to be prepared for the meeting.


Please indicate which position/s you will be standing for and enclose a short profile of yourself (maximum 200 words) including a portrait photo. We will publish your profile below during the week leading up to the AGM and it will also be distributed on the evening of the meeting.


Information about the roles and expectations of Executive Committee members will be forwarded to you on receipt of your nomination. This does not indicate that you have been selected but provides you with the opportunity to decide, if elected, if you are able ot accept your roles and responsibilities.

Proposed Constitution Change

The Executive Committee of Bicycle SA is proposing and recommending the adoption of an updated Constitution – the first significant update to our governing document in 20 years.


The current Constitution dates back to 2005. Since then, the way not-for-profit organisations are governed has evolved considerably, and State and Federal governments are now increasingly expecting organisations like Bicycle SA to maintain good governance standards. As part of Bicycle SA's commitment to good governance and transparency, the Executive Committee have undertaken a full review to ensure our Constitution reflects modern practice, current legislation, and the needs of today’s members.


The proposed updated new Constitution will:

  • modernise and simplify outdated wording and processes;
  • position and enable the organisation to grow and develop further as a community organisation and expand our offerings to support our members and community more effectively; and
  • align Bicycle SA with the Associations Incorporation Act 1985 (SA), other relevant legislation and current governance principles.


This proposed updated Constitution ensures Bicycle SA remains a strong, well-governed organisation, ready and best-prepared to represent our members for decades to come.


Members now have the opportunity to review the proposed updated Constitution in full, available below, and will vote on its adoption at the upcoming Annual General Meeting. Frequently asked questions about the proposed change are outlined below.

Bicycle SA CEO Sue Bowman invites all Members who would like to discuss the proposed updated Constitution to book a short meeting during her extended office hours in the lead-up to the AGM.

Directions to the AGM

The AGM will be held in the function room of the Hilton Hotel at 264 South Rd, Hilton SA 5033 at 6pm on Thursday 27 November 2025.


From the city by bike:

  • Take the Westside Bikeway heading south adjacent James Congdon Drive to connect with the Airport Bikeway along King Street then Roebuck Street. Turn left at Falcon Avenue, right at Darebin Street, left at Milner Road, left at Burt Avenue, then right at Mallen Street to access the carpark.
  • Alternatively, use the bike lanes provided on Sir Donald Bradman Drive.


From the city by public transport:

  • From Stop U1, Grenfell Street, take the 163, J1 or J2 bus to Stop 5A Sir Donald Bradman Drive.
  • Alternatively, from Stop E1 King William Street, take the 245 or 248 bus to Stop 1A Sir Donald Bradman Drive.


From the city by car:

  • Take Sir Donald Bradman Drive and turn right at Mallen Street to access the carpark.

Our Constitution hasn’t had any update in 20 years, and State and Federal governments are increasingly expecting organisations like BikeSA to adopt contemporary governance practices in order to access government funding. The review will modernise BikeSA's governance structure, align with current legislation and best practice, and ensures the organisation is well-governed, transparent, and future-ready.


The current Constitution dates from 2005. This means it predates online voting, modern governance standards, and today’s not-for-profit compliance requirements. 


To strengthen governance, clarify membership categories and rights, introduce term limits for Directors, streamline decision-making, and ensure compliance with the Associations Incorporation Act 1985 (SA). 


The update was developed by Bike SA’s Board and administration through a detailed review process, incorporating legal advice, board workshops, and feedback from Directors and members. 


Under the proposed updated Constitution, all current members will automatically transition to the equivalent membership category. There will be no need to re-apply or take any action. 


Under the proposed updated Constitution, Individual Members and Life Members continue to have one vote each at General Meetings 


Under the proposed updated Constitution, Members can appoint one other Member to vote on their behalf via a proxy form or attend and vote electronically through approved technology. 


Under the proposed updated Constitution, Members will be able to attend future General Meetings in person or by videoconference, ensuring regional and interstate members are included. There will be no electronic attendance at the 2025 AGM.


Consistent with modern governance standards, the Board will consist of up to nine Directors (six elected and up to three appointed). The Board currently consists of 10 elected members.


Under the proposed updated Constitution, Bicycle SA will still have a President and Treasurer, but the election of these positions won't be determined at the AGM. Instead, a President and Treasurer will be selected from amongst and by the Board. The role of Vice President and Secretary will be abolished.


Under the proposed updated Constitution, Directors may now serve up to eight consecutive years, instead of serving with no limit. This encourages renewal while preserving continuity and institutional knowledge 


If the proposed updated Constituion is not adopted, Bicycle SA will continue operating under the 2005 Constitution, which poses risks of outdated governance and limited alignment with modern standards. Elections will then be conducted as normal under the current 2005 Constitution.


Bicycle SA CEO Sue Bowman invites all Members who would like to discuss the proposed updated Constitution to visit her during extended office hours, 4:00 pm – 6:00 pm each Tuesday and Thursday in the lead-up to the AGM.
